("BioWorks" or the "Company") is a supplier to the agriculture industry of biological control ("biocontrol") products and biotechnologies ("biotech") that enhance plant health, plant productivity and consumer and worker safety. Utilizing intellectual properties obtained under an exclusive licensing agreement with Cornell Research Foundation ("CRF"), an affiliate of Cornell University ("Cornell"), the Company currently develops, manufactures and markets fungal based biocontrol products.
BioWorks' products and intellectual property portfolio are derived from strains of naturally occurring, soil-based microorganisms which have the ability to control harmful fungi that attack a plant's roots. They were developed over the last 15 years through work done by two of BioWorks founders, Dr. Gary Harman and Dr. Thomas Stasz, at Cornell University, in concert with the efforts of other Cornell researchers and the Eastman Kodak Company ("Kodak"). Kodak subsequently gifted all its technology interests to CRF, which, in 1993, granted BioWorks an exclusive license in return for an equity interest in the Company. BioWorks holds exclusive licenses to ten U.S. Patents upon which the Company has developed its line of proprietary and unique products. Several other U.S. And foreign patents are pending.

Agricultural growers have traditionally utilized chemical based herbicides, fungicides and insecticides to boost their productivity. Today, the focus is on reducing the use of chemical pesticides while at the same time meeting the demand for cost-effective, environmentally responsible alternatives. This change in focus is the result of (i) consumer demand for safer, higher quality food as evidenced by the Food Quality Protection Act (FQPA), (ii) the loss of registered chemical pesticides and the lack of new chemicals being registered because of the high cost of commercialization and lengthy development period (estimated by the American Crop Protection Association to exceed $100 million and 7 to 10 years per product, respectively), (iii) environmental concerns and the demand for sustainable technologies, (iv) demand for more food for the growing world population, and (v) the cost effectiveness and efficacy of non-chemical based products to growers.
